User Agreement

1. Introduction and Agreement

This Terms of Service (“Agreement”) is a binding contract between you (“User”) and WHXEX Limited (“WHXEX,” “we,” “us,” or “our”). By accessing or using WHXEX services, you agree to comply with and be bound by this Agreement, including any updates made from time to time. If you do not agree, you must not use our services.

2. Eligibility and Registration

You must be at least 18 years old and have full legal capacity to use WHXEX. By creating an account, you represent that all information provided is accurate and that you are not subject to any legal restrictions or sanctions.

3. Services Offered

WHXEX provides access to digital asset trading services including spot, perpetual futures, options, staking, fiat on/off ramps, and other blockchain-based financial services. All services are subject to applicable laws and regulatory requirements in the jurisdictions where WHXEX operates.

4. Risk Disclosure

Digital asset trading involves significant risk, including potential loss of your principal. Prices are volatile and may fluctuate rapidly. By using WHXEX, you acknowledge that you understand and accept these risks, and that WHXEX is not responsible for market losses or system failures.

5. Fees and Taxes

You agree to pay all applicable fees associated with your use of WHXEX, as published in the Fee Schedule. You are solely responsible for any taxes arising from your transactions.

6. User Obligations

Users must maintain account security and confidentiality of login credentials. You agree not to use WHXEX for illegal, fraudulent, or manipulative purposes, including money laundering, market manipulation, or sanctions evasion.

7. Prohibited Activities

You may not: (a) use WHXEX for any unlawful purpose; (b) engage in wash trading, spoofing, or price manipulation; (c) interfere with WHXEX systems or APIs; (d) impersonate others; or (e) use automated scripts to disrupt the platform.

8. Account Suspension and Termination

WHXEX reserves the right to suspend, freeze, or terminate accounts without prior notice if: (a) required by law or regulator; (b) suspicious activity is detected; or (c) you violate these Terms. You may close your account after fulfilling all pending obligations.

9. Limitation of Liability

WHXEX and its affiliates shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data. In no event shall WHXEX’s total liability exceed the total fees paid by the user in the previous 12 months.

10. Indemnification

You agree to indemnify and hold harmless WHXEX, its officers, directors, and employees from any claims, damages, or expenses arising from your use of WHXEX or violation of this Agreement.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the British Virgin Islands. Any dispute shall be submitted to confidential arbitration in Tortola, BVI, under the rules of the BVI International Arbitration Centre (BVI IAC).

12. Miscellaneous

If any provision is held invalid, the remaining provisions shall remain in full force. WHXEX may amend these Terms at any time; updates will take effect upon publication on whxex.com.
